Welcome to Soul AI (“Platform”, “Service”, “we”, “our”, “us”).

Soul AI is an AI-assisted mental wellness platform operated by Samsarah Sacred Souls Private Limited. The Platform combines artificial intelligence with access to qualified mental health professionals to help users improve emotional wellbeing through guided conversations, self-reflection, mood tracking, educational resources, and professional support where appropriate.

These Terms govern your access to and use of the Platform, including mobile applications, websites, AI chat services, voice interactions, therapist marketplace, appointment booking, SOS features, mood tracking, journals, wellness plans, educational content, and future features introduced by Soul AI.

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

For purposes of these Terms:

By creating an account or accessing the Platform, you confirm that:

• You have legal capacity to enter into this agreement.
• You agree to comply with these Terms.
• You understand the Platform's intended purpose.
• You understand the limitations of AI-generated responses.
• You acknowledge that AI is not a substitute for professional healthcare.

If you do not agree to these Terms, you must discontinue use of the Platform immediately.

You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an independent account unless local law expressly permits supervised use by a younger individual.

If accounts for minors are introduced in the future, additional parental or guardian consent requirements will apply.

Soul AI reserves the right to refuse service where required by law or where use of the Platform may create unacceptable safety, legal, or operational risks.

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete information.
• Keep your account information current.
• Maintain the confidentiality of your credentials.
• Notify Soul AI promptly of any suspected unauthorized access.

You are responsible for all activity that occurs under your account unless such activity results from Soul AI's failure to maintain reasonable security controls.

Soul AI may provide services including, but not limited to:

• AI-assisted emotional support conversations.
• Mood tracking and trend analysis.
• Personal journaling.
• Guided wellness exercises.
• Mindfulness content.
• Educational resources.
• Therapist discovery.
• Appointment scheduling.
• Voice conversations.
• SOS support features.
• Crisis guidance.
• Community and wellness content.
• Integration with future wellness technologies.

The availability of features may vary by jurisdiction, subscription plan, device compatibility, or regulatory requirements.

The AI Counsellor is intended to provide supportive, educational, and wellness-oriented conversations.

AI responses may be inaccurate, incomplete, or inappropriate despite ongoing quality improvements. Users should exercise independent judgment and seek qualified professional care for medical or mental health concerns.

Soul AI may update, improve, suspend, or discontinue AI features at any time.

Soul AI may provide a marketplace through which users can discover and book sessions with qualified mental health professionals. Unless expressly stated otherwise:

• Therapists are independent professionals.
• Soul AI provides technology and marketplace services.
• Soul AI is not responsible for the independent clinical judgment of therapists.
• Therapists are responsible for complying with applicable licensing, professional, and ethical obligations.

Where applicable, Soul AI may perform verification of therapist credentials, but users remain responsible for choosing whether to engage a therapist.

Where available, Soul AI may offer optional SOS features or facilitate contact with trusted individuals or professionals. These features are intended to support users but are not guaranteed to provide immediate assistance.

Soul AI is designed to support wellbeing and should not be relied upon as the sole basis for making medical, psychiatric, psychological, legal, financial, or other important decisions.

Users are encouraged to consult appropriately qualified professionals for diagnosis, treatment, or advice tailored to their circumstances.

By using the Platform, you agree to use Soul AI responsibly and in accordance with these Terms and all applicable laws. You agree that you will:

• Provide accurate and truthful information where requested.
• Use the Platform only for lawful purposes.
• Respect the rights, dignity, and privacy of other users, therapists, and healthcare professionals.
• Maintain the confidentiality of your account credentials.
• Promptly update your account information if it changes.
• Follow reasonable safety instructions provided by the Platform.
• Exercise independent judgment when considering AI-generated information.

You acknowledge that you remain solely responsible for decisions made based on information obtained through the Platform.

Users shall not:

• Use the Platform for unlawful purposes.
• Impersonate another individual or organisation.
• Provide false or misleading information.
• Attempt to bypass Platform security measures.
• Reverse engineer or attempt to discover the underlying source code, models, or systems except where expressly permitted by law.
• Introduce malicious software, viruses, bots, or automated scraping tools.
• Upload unlawful, defamatory, abusive, discriminatory, or infringing content.
• Harass, threaten, intimidate, or exploit therapists or other users.
• Attempt to manipulate AI responses for harmful or unlawful purposes.
• Use the Platform to obtain advice for illegal activities.
• Use the Platform to generate misinformation or impersonation content.
• Interfere with the operation or availability of the Platform.

Soul AI reserves the right to suspend or terminate accounts that violate these Terms.

The Platform may permit you to create or upload content, including journal entries, mood logs, messages, voice recordings, documents, images, wellness goals, feedback, and therapist communications.

You retain ownership of your original content. By submitting content to Soul AI, you grant Soul AI a limited, non-exclusive, worldwide, royalty-free licence to process, store, display, and use that content solely for:

• Providing the requested services;
• Maintaining and improving the Platform;
• Detecting fraud, abuse, or security incidents;
• Meeting legal or regulatory obligations; and
• Other purposes described in the Privacy & Health Information Notice.

Soul AI will not sell your personal journals or identifiable therapy conversations to third parties.

Soul AI may provide mood tracking, journaling, behavioural trend analysis, and wellness insights. These features are intended to support self-reflection and wellbeing. They are not intended to diagnose medical or mental health conditions.

Users remain responsible for determining whether professional care is appropriate. Where enabled by the user, Soul AI may identify patterns that suggest it may be beneficial to consult a qualified mental health professional.

Soul AI continually seeks to improve the quality, safety, and usefulness of its AI systems. Subject to applicable law and user consent where required, Soul AI may use interactions with the Platform to improve response quality, enhance safety systems, reduce harmful outputs, improve multilingual capabilities, evaluate new AI models, and detect misuse.

Where feasible, Soul AI will use de-identified or aggregated information for model improvement. Users may be provided with options to manage their preferences regarding the use of their information for product improvement, where required by law.

Where Human Therapists are available through the Platform:

• Therapists operate as independent professionals unless expressly stated otherwise.
• Soul AI facilitates discovery, scheduling, communication, and payments where applicable.
• Clinical decisions remain the responsibility of the treating therapist.
• Soul AI does not guarantee that any therapist is suitable for a particular user or concern.
• Users are responsible for selecting the therapist they wish to engage.

Therapists may have separate professional obligations and informed consent requirements that apply to therapy sessions.

Appointment scheduling is subject to therapist availability. Users agree to arrive on time for scheduled sessions, provide reasonable notice for cancellations where possible, and comply with applicable cancellation policies.

Therapists may reschedule or cancel appointments due to emergencies, illness, technical issues, or other reasonable circumstances. Specific refund and cancellation rules may be set out in a separate Refund & Cancellation Policy.

Certain features may require payment. Soul AI may offer free services, subscription plans, one-time purchases, therapy session payments, premium AI services, and enterprise offerings.

Prices may change from time to time. Changes will not affect charges already incurred unless permitted by law. Users authorize Soul AI and its payment providers to process applicable payments.

Refund eligibility will be governed by the applicable Refund & Cancellation Policy and by mandatory consumer protection laws. Nothing in these Terms limits any rights that cannot legally be excluded.

Unless otherwise indicated, all intellectual property rights in the Platform — including software, AI systems, prompts, workflows, interfaces, branding, graphics, text, audio, logos, trademarks, and documentation — are owned by or licensed to Soul AI.

No ownership rights are transferred to users through use of the Platform. Users may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit Platform content except as expressly permitted.

Users may voluntarily provide suggestions, ideas, bug reports, or feedback. Unless otherwise agreed in writing, Soul AI may use such feedback without restriction or compensation.

The collection, use, storage, disclosure, and protection of personal information are governed by the Soul AI Privacy & Health Information Notice, which forms an integral part of these Terms. By using the Platform, you acknowledge that your information will be processed in accordance with that notice.

Soul AI implements reasonable administrative, technical, and organisational measures designed to protect user information. However, no digital platform can guarantee absolute security.

Users should protect their login credentials, use strong passwords, enable additional security features where available, and notify Soul AI promptly of any suspected unauthorized access.

Soul AI strives to provide reliable services but does not guarantee uninterrupted or error-free operation. The Platform may occasionally be unavailable due to maintenance, updates, security events, infrastructure failures, third-party service interruptions, or force majeure events.

Soul AI reserves the right to modify, suspend, or discontinue any feature at its discretion, subject to applicable law.

The Platform may integrate with or provide access to third-party products and services, including payment gateways, cloud hosting providers, video conferencing services, calendar and scheduling tools, authentication providers, SMS and email services, analytics platforms, healthcare providers, wearable devices, electronic health record integrations, and emergency communication providers.

Soul AI does not own or control third-party services and is not responsible for their availability, content, security practices, or performance. Your use of any third-party service is subject to the applicable third party's own terms and privacy practices.

Soul AI is committed to the responsible development and deployment of artificial intelligence. Accordingly:

• AI responses are generated through automated systems.
• Users will be informed when interacting primarily with AI.
• AI is designed to assist — not replace — qualified healthcare professionals.
• Human intervention may be recommended where the Platform identifies elevated wellbeing concerns.
• AI outputs may be reviewed by authorised personnel in limited circumstances, including quality assurance, safety investigations, abuse prevention, and legal compliance.

The Platform continually evaluates AI performance to improve safety, accuracy, fairness, and user experience.

Soul AI may collaborate with hospitals, clinics, universities, research institutions, NGOs, licensed healthcare professionals, and other organisations to improve the quality and safety of its services. Such collaborations may include clinical advisory activities, research projects, product validation, user experience studies, educational initiatives, AI safety reviews, clinical governance, and outcome evaluation.

Participation in research or pilot programmes will occur only with appropriate consent and applicable ethical approvals where required.

The Platform is provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law. Soul AI does not warrant that the Platform will operate without interruption; that AI responses will always be accurate, complete, or suitable; that the Platform will meet every user's expectations; that services will always be available; that defects will always be corrected immediately; or that the Platform will be compatible with every device or software environment.

Nothing in these Terms excludes any warranty that cannot lawfully be excluded.

To the fullest extent permitted by law, Soul AI and its directors, officers, employees, contractors, affiliates, licensors, clinical advisors, and service providers shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

• use of or inability to use the Platform;
• reliance on AI-generated information;
• therapist selection or therapeutic outcomes;
• interruption of services;
• data loss not resulting from Soul AI's failure to implement reasonable security measures;
• third-party service failures;
• unauthorised access despite reasonable security safeguards; or
• events beyond Soul AI's reasonable control.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

By using Soul AI you acknowledge and agree that:

• AI may occasionally produce inaccurate or inappropriate responses.
• Emotional wellbeing is highly individual and AI cannot fully understand every circumstance.
• Human professional support may be necessary for many situations.
• Emergency situations require immediate assistance from emergency services or qualified professionals.
• The Platform should not be relied upon as the sole basis for significant medical, legal, financial, or personal decisions.
• Therapeutic outcomes cannot be guaranteed.

You agree to indemnify and hold harmless Soul AI, its parent company, affiliates, directors, employees, contractors, clinical advisors, and licensors from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, unlawful use of the Platform, infringement of another person's rights, misuse of AI services, misuse of therapist services, or content you upload that violates applicable law or third-party rights.

This clause applies only to the extent permitted by applicable law.

Soul AI may suspend or terminate access where reasonably necessary, including where these Terms are materially breached, fraudulent activity is suspected, security risks are identified, unlawful conduct is detected, misuse of AI systems occurs, payment obligations remain outstanding, or continued access presents unacceptable operational, legal, or safety risks.

Where appropriate, Soul AI may provide notice and an opportunity to remedy a breach before termination. Termination does not affect rights or obligations that by their nature survive termination.

Soul AI shall not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, epidemics or pandemics, acts of government, war or civil unrest, telecommunications failures, cyberattacks beyond reasonable preventive measures, utility failures, labour disputes, or failures of third-party infrastructure providers.

Soul AI will use commercially reasonable efforts to restore services as soon as practicable.

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles. Nothing in these Terms limits any mandatory consumer protection rights available under applicable law.

Soul AI encourages users to first contact the support team in good faith to attempt to resolve disputes informally. If a dispute cannot be resolved through discussion, the parties may pursue mediation or arbitration where agreed, or proceedings before courts of competent jurisdiction in accordance with applicable law.

The exclusive jurisdiction for disputes shall ordinarily be the competent courts located in Mumbai, Maharashtra, India, unless mandatory law provides otherwise.

Soul AI may revise these Terms from time to time to reflect changes in applicable law, new Platform features, improvements in safety or security, operational requirements, or business developments.

Material changes will be communicated through appropriate channels, such as the Platform or email where required by law. Continued use of the Platform after revised Terms become effective constitutes acceptance of those changes.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be interpreted, where possible, to most closely reflect its original intent while remaining legally enforceable.

These Terms, together with the Privacy & Health Information Notice and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Soul AI concerning your use of the Platform. They supersede any prior oral or written understandings relating to the same subject matter.
